In these Terms, "Devesy," "we," "our," or "us" refers to DEVESY TECHNOLOGIES, operating as Devesy.

When you submit a form, book a call, or contact Devesy, you agree to provide accurate and complete information.

A consultation, quote request, or project discussion does not create a service agreement unless both parties confirm the project scope, pricing, timeline, and payment terms.

Devesy may accept, reject, or pause any project request at its discretion.

4. Quotes, Proposals, and Scope

Any quote or proposal provided by Devesy is based on the information available at that time.

A proposal may include:

  • Project scope
  • Features and deliverables
  • Timeline
  • Pricing
  • Payment terms
  • Revision limits
  • Third-party costs
  • Maintenance or support terms

Any work outside the agreed scope may require additional charges and timeline changes.

5. Payments

Payment terms will be defined in the project proposal, invoice, or written agreement.

Unless otherwise agreed:

  • Work may begin after advance payment or milestone confirmation
  • Payments must be made on time
  • Delayed payments may delay delivery
  • Completed milestones may be non-refundable
  • Third-party costs may be billed separately
  • Devesy may pause work if payment is overdue

All fees are exclusive of taxes, transaction fees, hosting fees, domain fees, app store fees, paid tools, or third-party service costs unless specifically stated.

6. Client Responsibilities

To complete a project properly, the client must provide required information, feedback, approvals, content, brand assets, access credentials, and business requirements on time.

The client is responsible for:

  • Providing accurate project requirements
  • Reviewing work and giving timely feedback
  • Supplying legal rights to all content, images, logos, and materials provided
  • Maintaining access to domain, hosting, email, payment, and third-party accounts
  • Ensuring business compliance with applicable laws
  • Testing and approving deliverables before launch

Delays in client feedback, approvals, content, or access may affect project timelines.

7. Timelines and Delivery

Project timelines are estimates unless specifically agreed in writing as fixed deadlines.

Delivery may be affected by:

  • Scope changes
  • Delayed feedback
  • Third-party service issues
  • Client-side delays
  • Technical complexity
  • Payment delays
  • Force majeure or events outside Devesy's control

Devesy will make reasonable efforts to meet agreed timelines but does not guarantee delivery by a specific date unless expressly agreed in writing.

8. Revisions and Changes

Revision limits, if applicable, will be defined in the proposal or agreement.

Revisions must relate to the agreed scope. New features, major design changes, additional pages, integrations, automation flows, or business logic changes may be treated as additional work.

9. Third-Party Services

Projects may require third-party services such as hosting, domains, analytics, payment gateways, WhatsApp tools, booking systems, email platforms, APIs, AI providers, cloud providers, app stores, or automation platforms.

Devesy is not responsible for:

  • Third-party outages
  • Price changes
  • Account suspensions
  • API changes
  • Security incidents caused by third-party platforms
  • Policy changes by external providers

The client is responsible for third-party fees unless otherwise agreed.

10. AI, Automation, and Software Output

Devesy may build AI tools, chatbots, automation systems, dashboards, and software workflows.

The client understands that AI and automation systems may require testing, monitoring, training, prompt refinement, data updates, and human review.

Devesy does not guarantee that AI-generated output will always be accurate, complete, compliant, or suitable for every business use case.

The client is responsible for reviewing AI output before relying on it for business, legal, medical, financial, or critical decisions.

11. Website Content and Legal Compliance

The client is responsible for ensuring that their website content, business claims, privacy policy, terms, refund policy, product descriptions, advertising, and customer communications comply with applicable laws.

Devesy may assist with draft content, layout, or technical implementation, but legal review remains the client's responsibility.

12. Intellectual Property

Unless otherwise agreed in writing:

  • Devesy retains ownership of its internal tools, frameworks, reusable code, methods, templates, workflows, and development processes.
  • The client owns the final custom deliverables after full payment is received.
  • Third-party assets remain owned by their respective owners.
  • Open-source software remains subject to its own license terms.

Devesy may reuse general knowledge, techniques, code patterns, components, and non-confidential learnings from projects.

13. Portfolio and Case Studies

Unless the client requests confidentiality in writing, Devesy may mention completed work in its portfolio, case studies, marketing material, or sales discussions.

This may include the client's business name, logo, website link, screenshots, project summary, and high-level results.

Devesy will not intentionally publish confidential technical, financial, or sensitive business information without permission.

14. Confidentiality

Both parties agree to handle confidential information responsibly.

Confidential information may include business plans, technical systems, access credentials, customer data, pricing, private documents, and non-public project details.

Confidentiality does not apply to information that is publicly available, already known, independently developed, or required to be disclosed by law.

15. Security

Devesy follows reasonable technical and organizational practices when building and supporting digital systems.

However, no website, software, hosting environment, API, cloud system, or internet-based service can be guaranteed to be completely secure.

The client is responsible for maintaining strong passwords, account security, access controls, backups, and ongoing maintenance unless Devesy is specifically contracted to manage them.

16. Maintenance and Support

Maintenance, support, monitoring, bug fixes, updates, backups, hosting management, security patches, and performance improvements are only included if stated in the proposal or support agreement.

After project delivery, additional support may be billed separately.

17. Refunds and Cancellations

Refund terms depend on the project scope, payment stage, and work already completed.

Unless otherwise agreed:

  • Advance payments may be non-refundable once work has started
  • Completed milestones are non-refundable
  • Third-party costs are non-refundable
  • Cancellation must be requested in writing
  • Devesy may charge for work completed up to the cancellation date

18. Limitation of Liability

To the maximum extent permitted by law, Devesy is not liable for indirect, incidental, special, consequential, or business losses, including lost profits, lost revenue, data loss, downtime, reputational damage, or third-party claims.

Devesy's total liability for any claim will not exceed the amount paid by the client for the specific service giving rise to the claim.

19. No Guarantees

Devesy may help improve websites, software, automation, performance, user experience, SEO setup, or digital operations.

However, Devesy does not guarantee specific business results, rankings, traffic, leads, revenue, conversions, app approvals, or platform outcomes unless expressly agreed in writing.

20. Termination

Devesy may suspend or terminate services if:

  • Payment is overdue
  • The client breaches these Terms
  • The client requests illegal, harmful, or unethical work
  • Required information or access is not provided
  • The project becomes unsafe, abusive, or commercially unreasonable to continue

The client remains responsible for payment for work completed before termination.

21. Governing Law

These Terms are governed by the laws of the United Arab Emirates, unless otherwise required by applicable law or agreed in writing.

Any disputes should first be resolved through good-faith discussion. If unresolved, the matter may be handled through the appropriate courts or legal authorities in the UAE.

22. Changes to These Terms

Devesy may update these Terms from time to time. The latest version will be posted on this page with the updated date.

Continued use of the website or services after updates means you accept the revised Terms.
